I think Most Outstanding Wrestler is based on pure in ring technique, psychology and level of quality matches, whereas Wrestler Of The Year is based on every factor from booking, to charisma, to matches, to fan support, etc.

Because everything is forced, the chant, the way he is pushed. He chants "feed me more" until a part of the crowd starts chanting (mostly kids and their parents who are easily influenced), there was a Raw show where he started chanting "feed me more" over 20 times until the crowd started to chant, dafuq?
You never saw Goldberg saying "who's next?" and then chanting into the crowd "who's next who's next who's next" until he gets a reaction. The fans are easy to fool if they think he is over with the chants. This is like a terrible song played on radio so long until you start to think this is actually not a bad song. Just the fact that WWE believes he and his chant are over makes him a winner in the category "most overrated"

His push. Cena gets injured, Punk slaps Foley, Ryback appears, feed me more, that's it. This is the push of Ryback. Molesting skinny jobbers with jewish names for almost a year and then just appearing randomly in a segment with the WWE champion. This is how WWE is trying to sell us a pathetic story of somebody who works his way into the main event and believing that Ryback is a valid main eventer who paid his dues because of that makes him also overrated. Altogether he deserves the win in this category.
Even in the 80s and early 90s where we had jobbermatches all the time WWE told us a better story of someone working his way into the main event with Bret Hart, Shawn Michaels, Randy Savage or Ultimate Warrior
