Because he was loyal to the WWE unlike Nash and Hall. Nash said in an interview the reason he left the WWE (the final nail in the coffin) was changing a match the last minute with Bret where Bret was not going to look weak. so Nash just said forget this and told Eric he was going to sign with WCW.

Plus Shawn knew he was being groomed as the next guy , and why would he go from that to WCW where he would play 2nd fiddle to Hogan, Sting and probably Hall and Nash.

Very interesting.
On the other hand I don't understand why Shawn was so loyal to the WWF that he did not join his two Kliq buddies.
Nash and Hall leaving also left Shawn somehow weakened against his archnemesis Bret.

Not really. He was WWF champion when Hall and Nash left. And many people like myself still considered Hall and Nash to be better stars than HBK at that point. It would've been a dumb move for Shawn to leave the WWF. Just like it was a dumb move for Christian to leave TNA. What's happened since he came back to WWF is what would've happened if Shawn went to WCW. I don't think Shawn would've been any bigger than DDP had he jumped ship between 1996-1998. Hogan would've made sure.

So it would have come down to a power struggle Shawn/Nash/Hall vs Hogan.

I also wondered if it would been possible for Bret to get in favor with Hogan maybe he would have had a very strong ally. Hogan also doesn't seem to be a big Shawn or Kliq fan.
But maybe two big egos like those of Hulk and Bret can't work together.

depends what you define as used badly. say shawn went over in 96. would a HBK nash and hall nWo make as much money as a Hulk Hogan nWo. no it wouldnt. It would have led to hulk Hogan being the face saving the company from the nWo and everything owuld have been boring as hogan would still be uber face, the Sting storyline owuldnt have happend so WCW may have never taken off.

Would shawn have been given the belt as the face of the nwo or would they have given it to nash. If he went later like in 97 then the sting vs hogan storyline would have been in full swing so much like Hart or even more likely in place of Hart as without HBK i think vince would have wanted Hart to stay in WWE at the reduced deal Hart asked for. Then HBK woul dhave been lost in the shuffle and not done much till his back injury in 98 makes him stop.

Was he ever offered a contract in WCW?

I can't imagine Eric Bischoff wanted Shawn Michaels. Bischoff was a tv-guy. At the time Michaels didn't look like a tv-star, he didn't seem like a tv-star, he didn't cut promos like a tv-star. In essence he wasn't a WCW-guy by any means. Why would Bischoff sign him?
